Noel Tata To Step Down From Six Tata Company Boards On 70th Birthday

The CSR Journal Magazine

Noel Tata, the chairman of Tata Trusts, will resign from the boards of six prominent Tata Group companies on November 12, coinciding with his 70th birthday. Despite this transition, he will maintain his role as a nominee director on the board of Tata Sons, the holding entity of the Tata Group, as reported by Moneycontrol. This decision aligns with the Tata Group’s retirement policy for non-executive directors.

The companies affected by his departure include Trent, Voltas, Tata International, Tata Investment Corporation, Tata Steel, and Titan Company. Noel Tata currently serves as the non-executive chairman of Trent, Voltas, Tata International, and Tata Investment Corporation, while holding the position of non-executive vice-chairman at Tata Steel and Titan.

He will also continue his involvement with Trent Hypermarket, a joint venture between Trent and Tesco that operates Star Bazaar and Star Daily. Arrangements for succession regarding his other directorships have yet to be finalised. His exit from these boards marks a significant change within the organisation, necessitating careful planning for the future leadership of these companies.

Governance Dispute Over Chandrasekaran’s Reappointment

Noel Tata’s impending exit from the operating-company boards occurs amid a governance dispute concerning the proposed reappointment of N Chandrasekaran as chairman of Tata Sons for another five years, starting February 21, 2027. The board of Tata Sons approved this reappointment during a meeting on September 17. However, Noel Tata has expressed his opposition to this decision, while Venu Srinivasan, another nominee director from Tata Trusts, has supported it.

Tata Trusts has since challenged the legitimacy of the resolution, asserting that it lacked the majority support from Trust-nominated directors as mandated by Tata Sons’ Articles of Association. In an October 26 letter to the company secretary of Tata Sons, Suprakash Mukhopadhyay, Noel Tata reiterated his objections and requested the meeting’s minutes, voting records, and audio-visual recordings.

He raised concerns about the selection committee’s formation and whether the necessary approvals were obtained. The ongoing governance dispute is characterised by these allegations, which remain unverified findings of misconduct. The situation highlights the complexities of leadership dynamics within the Tata Group.

Significance of Tata’s Role at Tata Sons

Noel Tata’s continued presence on the Tata Sons board holds considerable importance, given that Tata Trusts collectively owns approximately 66 per cent of the holding company. As the chairman of Tata Trusts, he wields significant influence within the group. His departure from the boards of six major operating companies will necessitate succession planning for the chairmanships of Trent, Voltas, Tata International, and Tata Investment Corporation, as well as the vice-chairmanships of Tata Steel and Titan.

The distinction between the operating-company boards and Tata Sons reflects differing retirement provisions within the governance framework of the group. Non-executive, non-independent directors typically retire at the age of 70, whereas executive directors have a retirement age of 65. Chandrasekaran, who has been chairman of Tata Sons since 2017, is slated for a proposed five-year term extending until February 2032.

He will turn 65 on June 2, 2028. Under the group’s internal governance policies, executive directors generally retire at 65, and continuing beyond this age would necessitate an exception. Chandrasekaran’s leadership has been pivotal in overseeing significant investments across various sectors, and his proposed continuation is linked to the need for stability during ongoing development and expansion projects.
